These terms and conditions are entered into between Digiastic LLP and Your Company( hereinafter referred to as “Client” or “You”) from the day you avail our services. Please carefully read these Terms and Conditions Agreement (“Agreement”). By engaging Digiastic LLP “Doing Business As (dba)” operating the website to provide Search Engine Optimisation, Guest post outreach, Web Design, or any Digital Marketing services to you, you agree to be bound by the terms and conditions below. If you do not agree with this Agreement, then you may not engage Digiastic LLP to provide any services (they offer) on your behalf.
Digiastic LLP will provide the Client with Search Engine Optimisation Services (hereinafter referred to as “SEO”) as described in this contract. Digiastic LLP will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client’s website.
All invoices must be paid in full within 7 days of billing. Digiastic LLP’s SEO services are intended to serve two main purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site. Digiastic LLP’s SEO Services may include (but are not limited to):
Researching keywords and phrases to select appropriate, relevant search terms.
Obtaining backlinks in the form of guest posting outreach services
Obtaining “backlinks” from other related websites and directories in order to generate link popularity and traffic.
Editing and/or optimisation of text for various HTML tags, metadata, page titles, and page text as necessary.
Analysis and recommendations on optimal website structure, navigation, code, etc., for best SEO purposes.
Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches.
Create traffic and ranking reports showing rankings in the major search engines.
Creating blog posts and social media posts.
For the purposes of receiving professional SEO services, Client agrees to provide the following:
- Administrative/backend access to the website for analysis of content and structure.
- Permission to make changes for the purpose of optimization, and to communicate directly with any third parties.
- Unlimited access to existing website traffic statistics for analysis and tracking purposes.
- Access to a client email address (@domain or Gmail) is needed to request links.
- Authorization to use client pictures, logos, trademarks, website images, pamphlets, content, etc., for any use as deemed necessary by Digiastic LLP for search engine optimization purposes.
- If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages.
Client must acknowledge the following with respect to SEO services:
- All fees are non-refundable.
- All fees, services, documents, recommendations, and reports are confidential.
- Digiastic LLP has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
- Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Digiastic LLP does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
- Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, Digiastic LLP will re-optimize the website/page based on the current policies of the search engine. Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid inclusion or expedited service fees. Digiastic LLP can offer a list of expedited listing services upon request.
- Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Digiastic LLP does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
Digiastic LLP is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
Additional Services not listed herein (branded copywriting, blitz campaigns, additional consulting, etc.) will be provided for a fee of $10-$50 per hour.
The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Digiastic LLP for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Digiastic LLP and its subcontractors from any liability or suit arising from the use of such elements.
Digiastic LLP is not responsible for the Client overwriting SEO work on the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized). The Client will be charged an additional fee for re-constructing content, based on the hourly rate of $200 per hour.
Notwithstanding any other provision of this Agreement, Digiastic LLP’s obligation to provide free SEO services shall cease in the event the Client’s conduct overrides the SEO services provided. For example, if the Client’s webmaster uploads content without consulting Digiastic LLP, then Digiastic LLP’s obligation to provide SEO services for free shall terminate.
Jurisdiction and Attornment The parties agree that this Agreement and any and all disputes between the parties shall be governed in accordance with the laws of the Province of Jaipur, Rajasthan (India), and attorn to the jurisdiction of the Province of Jaipur, Rajasthan (India), in connection with any disputes which may arise between them.
Limitation of Liability Digiastic LLP will endeavor to render its SEO services to you in a prudent and professional manner. However, in no event shall Digiastic LLP be responsible for any direct, indirect, special, exemplary or consequential damages (including but not limited to procurement or substituted services or products; loss of business, revenues or profits; loss of goodwill or reputation; business interruption however caused and on the basis of any cause of action).
Jurisdiction and Attornment The parties agree that this Agreement and any and all disputes between the parties shall be governed in accordance with the laws of the Province of Jaipur, Rajasthan (India), and attorn to the jurisdiction of the Province of Jaipur, Rajasthan (India), in connection with any disputes which may arise between them.
Entire Agreement This Agreement constitutes the entire Agreement between the Parties and sets out all the covenants, promises, warranties, representations, conditions and agreements between the Parties in connection with the subject matter of this Agreement and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, pre-contractual or otherwise. There are no covenants, promises, warranties, representations, conditions, understandings or other agreements, whether oral or written, pre-contractual or otherwise, express, implied or collateral between the Parties in connection with the subject matter of this Agreement except as specifically set forth in this Agreement and any document required to be delivered pursuant to this Agreement. This clause does not apply to Digiastic LLP with respect to its pricing, services and policies as they may change from time to time and you agree to this provided that you are advised of same in writing at least 10 days prior to the start of the next calendar month in which the changes are to take effect.
Notice: Any notice required or permitted to be given by Digiastic LLP to you shall be deemed to have been received by you if sent to you by email to the email address you provided us with in our written communications. Any notice required to be given by you to Digiastic LLP shall be deemed to have been received if you sent it to ‘hi’ on the website.
No Agency Relationship. Nothing contained in this Agreement shall be interpreted as making any agency, partnership, or other form of joint establishment between the parties hereto. Each party shall make sure that no representations are made to the opposite of this effect, either specifically, unconditionally, by appearance, or otherwise.
Waiver. The failure of Digiastic LLP to require your performance of any provision hereof shall not affect the full right to require such performance at any time afterwards, nor shall the waiver by Digiastic LLP of a breach of any provision hereof be taken or held to be a waiver of the provision itself.
